THRONE CYCLES – WAIVER & RELEASE OF LIABILITY AGREEMENT
THRONE CYCLES / STRIKE CYCLES / SRPNT MOTO
Effective Date: January 2025
This Waiver & Release of Liability Agreement (“Agreement”) is entered into by the undersigned (“Customer”) in favor of:
- Throne Cycles
- Strike Cycles
- SRPNT Moto
and all affiliated companies, owners, officers, employees, distributors, dealers, and agents (collectively, “Company”).
1. Acknowledgment of Inherent Risks
Customer understands that operating electric motorcycles, e-motos, bicycles, and related products (“Products”) involves inherent and significant risks, including but not limited to:
- Serious bodily injury or death
- Collisions with vehicles, pedestrians, or fixed objects
- Loss of control due to speed, terrain, or rider error
- Mechanical failure, defects, or component malfunction
Customer knowingly and voluntarily assumes all risks, both known and unknown.
2. Off-Road / Legal Use Disclaimer (U.S.)
Customer acknowledges and agrees:
- Many Products sold by Company are NOT street legal and may not be registered for road use in many U.S. states
- Products are intended for off-road, closed-course, or private property use only unless explicitly stated otherwise
- Company makes no guarantee of legality for use on public roads in any jurisdiction
- Customer is solely responsible for complying with all federal, state, and local laws
3. No VIN / Registration Responsibility
Customer understands that:
- Certain Products may not include VINs, titles, or registration documents
- Company does not guarantee eligibility for DMV registration, insurance, or public-road use
- Any attempt to register or modify the Product for road use is done at the Customer’s sole risk
4. Release & Waiver of Liability
To the maximum extent permitted by law, Customer hereby releases, waives, and discharges Company from any and all claims, liabilities, damages, or causes of action arising from:
- Use, misuse, or operation of the Product
- Injury, disability, death, or property damage
- Mechanical failure, defects, or alleged product issues
- Assembly, maintenance, transportation, or storage
This includes claims based on negligence to the fullest extent allowed by law.
5. Indemnification
Customer agrees to defend, indemnify, and hold harmless Company from any claims, damages, losses, or legal expenses arising out of:
- Customer’s use or operation of the Product
- Violation of any laws or regulations
- Injuries or damages caused to third parties
- Unauthorized modifications or improper maintenance
6. Safe Operation & Rider Responsibility
Customer agrees:
- To wear proper safety gear (helmet, eye protection, protective clothing)
- Not to operate under the influence of drugs or alcohol
- Not to allow untrained, inexperienced, or underage riders to operate without supervision
- To operate within safe limits and the intended use
7. Assembly, Maintenance & Warranty Limitations
Customer acknowledges:
- Professional assembly is strongly recommended and may be required for warranty validity
- Improper assembly or maintenance increases risk of injury
- Damage caused by crashes, misuse, or improper handling is not covered under warranty
8. Product Use & Modification
Customer understands that:
- Modifying the Product (speed, controller, electrical components, etc.) increases risk
- Company is not responsible for damages resulting from modifications or aftermarket parts
9. Binding Agreement / Governing Law
- This Agreement is binding upon Customer and their heirs, assigns, and representatives
- This Agreement shall be governed by applicable laws within the United States and the state in which the claim arises
- If any provision is deemed invalid, the remaining provisions shall remain enforceable
10. Acknowledgment & Acceptance
By purchasing, using, or signing below, Customer confirms that:
- They have read and fully understand this Agreement
- They voluntarily accept all risks
- They agree to be legally bound by its terms
